Terms of Service
The agreement between you and Interlink Digital Ltd governing your use of Interlink Accounts.
This is a legal agreement. By creating an account or using Interlink Accounts, you agree to these terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1 Definitions
In these Terms of Service, unless the context requires otherwise:
- "We", "us", "our" refers to Interlink Digital Ltd, a company registered in England and Wales, the developer and operator of Interlink Accounts.
- "You", "your" refers to the individual or entity that has registered for and/or is using the Service.
- "Service" refers to the Interlink Accounts cloud-based accounting platform, including all features, tools, APIs, and related services provided via accounts.interlink.digital.
- "User" means any individual who accesses the Service under your account, including employees, contractors, bookkeepers, and accountants.
- "Your Data" means all data, information, and files that you or your Users upload, submit, or create within the Service.
- "Subscription" means the paid plan you have selected for access to the Service.
2 Your Account
2.1 Registration
To use Interlink Accounts, you must register for an account by providing accurate, current, and complete information. You agree to keep your registration information up to date at all times.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at security@interlink.digital if you become aware of any unauthorised use of your account.
2.3 Age Requirement
You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this requirement.
2.4 Unlimited Users
All Interlink Accounts plans include unlimited users at no additional charge. You may invite as many team members, employees, bookkeepers, or accountants as you require. Each user must have their own individual login credentials.
3 Subscription & Billing
3.1 Free Trial
New accounts receive a 30-day free trial with full access to all features. No credit card is required during the trial period. At the end of your trial, you must select a paid plan to continue using the Service.
3.2 Pricing
Subscription fees are as published on our Pricing page at the time of your purchase. All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added at the prevailing rate for UK customers.
3.3 Billing Cycle
Subscriptions are billed monthly or annually in advance, depending on your chosen billing frequency. Annual subscriptions receive a discount as detailed on our Pricing page. Your subscription will automatically renew at the end of each billing period unless cancelled.
3.4 Payment
Payment is processed securely via our third-party payment provider. We accept major credit and debit cards. By providing payment information, you authorise us to charge the applicable subscription fees to your chosen payment method.
3.5 Price Changes
We reserve the right to change our pricing. If we increase the price of your plan, we will give you at least 30 days' written notice before the change takes effect. You may cancel your subscription before the new price applies.
3.6 Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rata basis within the first 30 days of the initial subscription or renewal, at our discretion. Please contact billing@interlink.digital for refund requests.
4 Acceptable Use
4.1 Permitted Use
You may use Interlink Accounts for lawful business accounting, bookkeeping, payroll, invoicing, tax compliance, and related financial management purposes in accordance with your subscription plan.
4.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store, transmit, or distribute malicious code or harmful content
- Resell, sublicense, or redistribute access to the Service without our written consent
- Use automated tools (bots, scrapers) to access the Service except via our published APIs
- Submit false, misleading, or fraudulent financial data with the intent to deceive
4.3 HMRC Submissions
Interlink Accounts provides tools for Making Tax Digital (MTD) VAT submissions, PAYE Real Time Information (RTI), and other HMRC filings. You are solely responsible for the accuracy of all information submitted to HMRC via the Service. We provide the tools - the responsibility for correctness remains with you and your qualified advisors.
5 Your Data
5.1 Ownership
You retain full ownership of Your Data at all times. We do not claim any ownership rights in your financial records, client information, documents, or any other data you store in the Service.
5.2 Licence to Us
By using the Service, you grant us a limited, non-exclusive licence to use, process, and store Your Data solely for the purposes of providing and improving the Service. This licence terminates when you delete Your Data or close your account.
5.3 Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
5.4 Data Export
You may export Your Data at any time in standard formats (CSV, PDF, or other formats as available). Upon cancellation or termination, you will have 90 days to export Your Data before it is permanently deleted.
5.5 Backups
We perform regular automated backups of all data stored within the Service. However, we recommend that you also maintain your own backups of critical financial records.
5.6 AI Features
Where the Service uses artificial intelligence to categorise transactions, suggest postings, or provide insights, your data may be processed by AI models. Your data is never used to train AI models for other customers. AI-generated suggestions are advisory only and should always be reviewed by a qualified person before acceptance.
6 Intellectual Property
6.1 Our Rights
The Service, including its design, code, features, documentation, branding, and all related intellectual property, is owned by Interlink Digital Ltd and is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties.
6.2 Limited Licence
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription period, solely for your internal business purposes.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable licence to use that feedback for any purpose without compensation to you.
7 Service Availability
7.1 Uptime
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.
7.2 Maintenance
We will endeavour to provide reasonable advance notice of scheduled maintenance that may affect Service availability. Emergency maintenance may be performed without notice when necessary to protect the security or integrity of the Service.
7.3 Modifications
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service. We will not remove core accounting functionality during an active subscription without providing a reasonable alternative.
8 Limitation of Liability
8.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2 Limitation
To the maximum extent permitted by applicable law, Interlink Digital Ltd's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
8.3 Exclusions
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, however caused, whether in contract, tort, or otherwise. This includes but is not limited to:
- Errors in tax calculations, submissions, or filings
- Penalties or interest imposed by HMRC or any other authority
- Loss of data beyond what is covered by our backup procedures
- Business interruption resulting from Service unavailability
- Decisions made based on AI-generated suggestions or insights
8.4 Professional Advice
Interlink Accounts is a tool for financial record-keeping and compliance submissions. It does not constitute accounting, tax, legal, or financial advice. You should always consult qualified professional advisors for matters requiring specialist expertise.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
9 Termination
9.1 By You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
9.2 By Us
We may suspend or terminate your access to the Service immediately if:
- You breach any material term of these Terms
- Your payment is overdue by more than 14 days
- You engage in prohibited conduct as described in Section 4
- We are required to do so by law or regulatory order
9.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately (or at the end of your billing period for voluntary cancellations). We will retain Your Data for 90 days following termination to allow you to export it. After this period, Your Data will be permanently and irrecoverably deleted.
9.4 Survival
Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.
10 Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:
- Notify you by email at least 30 days before the changes take effect
- Display a prominent notice within the Service
- Update the "Last updated" date at the top of this page
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
11 Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us first. We will endeavour to resolve any complaint or dispute within 30 days.
